By using the website or submitting an RFQ, you agree to these Terms. Additional written terms in an accepted quotation, invoice, or order confirmation control for the applicable transaction if they conflict with these website Terms.

Business Eligibility and Authority

You must be at least 18 years old and authorized to act for the business, laboratory, research institution, distributor, or other qualified organization identified in an inquiry or order. You represent that the information you provide is accurate and that you have authority to bind the organization on whose behalf you act.

Research Use Only

All products described or supplied through this website are chemical or laboratory materials intended exclusively for legitimate in-vitro laboratory research, analytical, identification, or development purposes. They are not intended for human or veterinary administration, ingestion, injection, diagnostic use, therapeutic use, food use, household use, or use as medicines, supplements, cosmetics, or consumer products.

Export Controls, Sanctions, and Restricted Parties

Quotes, Pricing, and Order Acceptance

Website information and an RFQ submission are invitations to discuss a transaction and do not constitute an offer or accepted order. Pricing may depend on product, specification, packaging, quantity, availability, destination, exchange rates, and production or logistics conditions. A quotation is valid only for the stated period. An order becomes binding only when we issue written acceptance or an order confirmation and any required verification or payment condition is satisfied.

Payment, Taxes, and Charges

Payment method, currency, schedule, deposits, and credit terms will be stated in the quotation or invoice. Unless expressly included, prices exclude taxes, duties, customs charges, bank fees, permits, insurance, and destination charges. The buyer is responsible for these amounts and for accurate billing and import information. We may delay production or shipment for overdue, reversed, disputed, or unverifiable payments.

Specifications, Documentation, and Availability

We make reasonable efforts to provide accurate descriptions, target specifications, available documentation, lead times, and availability. Information may change, and availability is not guaranteed until an order is accepted. Images are illustrative and packaging may differ. Buyers must rely on the specifications, tolerances, documentation, and acceptance criteria stated for the relevant quotation, order, or lot.

Shipping, Risk, Import, and Inspection

Applicable shipping terms, carrier, costs, estimated timing, transfer of title or risk, temperature or packaging requirements, and import responsibilities will be stated in the quotation or order confirmation. Delivery dates are estimates unless expressly guaranteed in writing. The buyer must provide a lawful and deliverable address, cooperate with customs, inspect the shipment promptly, preserve packaging and evidence, and notify us in writing of visible damage, shortage, or material discrepancy within the claim period stated in the transaction documents.

Returns, Cancellations, and Claims

Research materials may be sensitive, custom, made to specification, or subject to chain-of-custody requirements. No return, cancellation, destruction, replacement, credit, or refund is authorized without our prior written approval. Eligibility and remedy depend on product condition, handling, order stage, documented discrepancy, and the applicable quotation or order terms. Custom or already-produced goods may be non-cancellable and non-returnable.

Confidential Information

Each party should use reasonable care to protect non-public commercial, technical, pricing, sequence, specification, and business information received in connection with an RFQ or order and use it only for evaluating or performing the transaction. This does not cover information that is public without breach, already lawfully known, independently developed, lawfully received from another source, or required to be disclosed by law. A separate written confidentiality agreement controls if one is signed.

Intellectual Property

Website text, design, graphics, photographs, and other original content are owned by or licensed to us and may not be copied, republished, or commercially exploited without permission except as allowed by law. Product names and third-party marks belong to their respective owners. No intellectual-property license or ownership transfer is granted except as expressly stated in a signed writing.

Prohibited Conduct

You may not submit false buyer or end-use information; attempt unauthorized access; interfere with security; scrape or misuse the website; use products for unlawful or prohibited purposes; divert products to an undisclosed end user or destination; or represent research-use materials as approved medicines, foods, supplements, cosmetics, or consumer products.

Force Majeure

We are not liable for indirect, incidental, special, punitive, or consequential losses, lost profit, lost opportunity, shipment delay, unauthorized use, improper handling, or misuse. Aggregate direct liability relating to an accepted order will not exceed the amount paid for the specific goods giving rise to the claim, except where a limitation is prohibited by law.

Indemnification

You agree to defend, indemnify, and hold us and our personnel harmless from third-party claims, losses, penalties, and reasonable expenses arising from your unlawful or prohibited use, breach of these Terms, inaccurate buyer or end-use representations, violation of law, improper handling, or unauthorized resale or transfer, except to the extent caused by our own liability that cannot lawfully be excluded.

Changes, Severability, and Entire Agreement

We may update these website Terms by posting a revised version with a new effective date. If a provision is unenforceable, the remaining provisions continue in effect. These Terms together with the accepted quotation, invoice, order confirmation, and any signed agreement constitute the agreement for the relevant transaction and replace prior discussions on the same subject.
